Terms of Service
These Terms of Service apply to your access to and use of the Motive Journey website and to any services we provide. For details on data handling, review our Privacy Policy and Cookies Policy.
01. Definitions
“Client” / “you”: The business, organisation, or legal entity engaging with our website or purchasing services.
“Services”: The Workflow Diagnostic, the Connected Delivery System build (explore what we build), and Managed System Operations, together with any additional work agreed in an Order or Statement of Work.
“Deliverables”: Technical and operational outputs we provide, such as configured systems, workflows, integrations, documentation, templates, dashboards, and reporting setups.
“Order” / “Service Order”: A written agreement (email, proposal, quote, invoice, or signed order form) defining scope, fees, and timelines.

03. Who We Serve (Target Market)
Our Services are designed specifically for organisations whose people sell expensive expertise and who lose that time to document production, data handling, repeated reporting, and approvals. Learn more about our approach and governance.
If you interact with us as a consumer acting wholly outside your trade or business, mandatory consumer protection rights under Irish and EU law remain unaffected by these Terms.
04. How Engagement Works (Core Services)
Workflow Diagnostic
Analysis of delivery bottlenecks, operational drag, and manual work handling. Check how our system works.

Ongoing maintenance, optimization, operational support, and system monitoring.
05. Orders, Scope and Change Control
5.1 No work starts without an Order: We begin billable work only after a written Order, SOW, or proposal acceptance and any required upfront payment is received.
5.2 Scope definition: Scope is strictly defined by the written Order or SOW. Only items explicitly listed are in scope.
5.3 Change requests: Any change to scope, integrations, system features, or timelines requires a written variation or a new SOW. We may pause delivery until change details and fees are agreed in writing.
06. AI Features and Data Privacy
Where you interact with our AI assistant on our website, this is disclosed at the start of the interaction (EU AI Act Article 50). AI components do not replace human decision-makers. Read our AI Transparency & Data Use Notice for more details.
07. Fees, Payment and VAT Position
Fees are specified in your written Order or Statement of Work across our core service models. Payment terms are as set out in the Order or invoice. Review our Pricing page for fee structures.
VAT Position: RichProMax Limited is not currently registered for VAT, so no VAT is added to our fees.
08. Intellectual Property & Portfolio Use
You retain ownership of all proprietary assets, data, and materials you provide to us. We retain full ownership of our underlying tools, frameworks, code libraries, automation architectures, and pre-existing IP.
Strict Opt-In Portfolio Policy: We will not name you or publish material relating to our work for you without your written permission given in advance and specific to what may be said. Explore our verified Work portfolio.
09. Performance Guarantee & Refunds
If the completed workflow does not meet the written acceptance criteria, we correct it at our own cost. If it still does not meet them after the agreed 90-day correction period, you may terminate and receive a full refund of our build fees.
On refund we decommission and remove the delivered system; you retain your own data and documents.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Ireland. Both parties submit to the exclusive jurisdiction of the courts of Ireland. Before initiating formal legal proceedings, the parties agree to negotiate in good faith to resolve any dispute.
